Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by MF Automations LLC ("MF Automations," "we," "our," or "us"), including our website at mfautomations.ai and our AI operator platform (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into contracts to use our Services. By using our Services, you represent that you meet these requirements. If you are using the Services on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. Account Registration

To access certain features of our Services, you must create an account. You agree to provide accurate and complete information and to keep your account credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

3. Subscriptions and Billing

Our Services are offered on a subscription basis. By subscribing, you authorize MF Automations to charge your payment method on a recurring basis at the rate applicable to your selected plan.

Billing cycle: Subscriptions are billed monthly or daily, as specified at purchase.
Cancellation: You may cancel your subscription at any time through the customer portal. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods unless required by applicable law.
Price changes: We will provide at least 30 days' notice of any price changes. Continued use after the effective date constitutes acceptance.
Failed payments: If payment fails, we may suspend or terminate your access after a reasonable cure period.

4. Acceptable Use

You agree not to use our Services to:

Violate any applicable law or regulation
Infringe the intellectual property rights of others
Transmit malware, spam, or other harmful code
Conduct unauthorized surveillance or data collection on third parties
Attempt to gain unauthorized access to any system or network
Engage in any activity that disrupts or interferes with our Services
Resell or sublicense the Services without our written authorization
Use the Services to facilitate illegal discrimination, harassment, or harm to individuals

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

5. Intellectual Property

All content, technology, and materials comprising the Services are owned by MF Automations LLC or its licensors and are protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes during your subscription term.

You retain ownership of any data or content you provide to the Services. You grant us a limited license to use such data solely to provide and improve the Services.

6. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

7. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described therein.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

AI-generated outputs are produced by automated systems and may contain errors or inaccuracies. You are responsible for reviewing and validating any output before acting on it. MF Automations is not liable for decisions made based on AI operator outputs.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MF AUTOMATIONS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless MF Automations LLC and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any third-party rights.

11. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access to the Services immediately if you violate these Terms or if we determine, in our sole discretion, that continued access poses a risk to us, other users, or third parties. Upon termination, all licenses granted to you will cease. Sections 5, 8, 9, 10, and 12 survive termination.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through binding arbitration in Miami, Florida, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION PROCEEDINGS.

13. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website at least 14 days before taking effect. Continued use after the effective date constitutes acceptance of the revised Terms.

14. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MF Automations LLC regarding the Services. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them freely.
