End-User License Agreement

This End-User License Agreement ("EULA" or "Agreement") is a binding legal agreement between you ("you," "your," or "Licensee") and MF Automations LLC ("MF Automations," "we," "our," or "us") governing your access to and use of the MF Automations software, applications, AI operator agents, APIs, and related materials (collectively, the "Software").

By installing, accessing, or using the Software, you agree to be bound by this Agreement. If you do not agree to these terms, do not install, access, or use the Software. This EULA supplements, and is incorporated into, our Terms of Service and Privacy Policy.

1. License Grant

Subject to your continued compliance with this Agreement and payment of all applicable fees, MF Automations grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for your internal business or personal purposes during the term of your subscription.

2. License Restrictions

You agree that you will not, and will not permit any third party to:

Copy, modify, adapt, translate, or create derivative works of the Software except as expressly permitted;
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, or algorithms of the Software, except to the extent such restriction is prohibited by applicable law;
Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software or your access credentials to any third party;
Remove, alter, or obscure any proprietary notices, labels, or marks on the Software;
Use the Software to build, train, or improve a competing product or service;
Circumvent, disable, or interfere with any security, usage-limit, or authentication features of the Software;
Use the Software in any manner that violates applicable law, infringes the rights of others, or is harmful, fraudulent, deceptive, or abusive;
Use the Software to transmit malware, spam, or unsolicited communications, or to harvest data unlawfully.

3. Ownership and Intellectual Property

The Software is licensed, not sold. MF Automations and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights therein. No rights are granted to you other than the limited license expressly set forth in this Agreement. All goodwill arising from use of our trademarks inures to our benefit.

4. Your Content and Data

You retain ownership of the data, content, and configurations you submit to or generate through the Software ("Customer Content"). You grant MF Automations a worldwide, royalty-free license to host, process, transmit, and display Customer Content solely as necessary to operate and provide the Software to you. Our handling of personal data is described in our Privacy Policy.

5. AI-Generated Output

The Software uses artificial intelligence to generate outputs, automations, and responses ("Output"). Output may be inaccurate, incomplete, or unsuitable for a particular purpose. You are solely responsible for reviewing, validating, and determining the appropriateness of any Output before relying on or acting upon it. MF Automations makes no warranty that Output is accurate, error-free, or fit for any purpose, and you assume all risk arising from your use of Output.

6. Third-Party Services

The Software may integrate with or rely on third-party services (such as payment processors, messaging providers, and cloud infrastructure). Your use of those services is governed by their respective terms. MF Automations is not responsible for the availability, accuracy, or conduct of any third-party service.

7. Fees and Subscriptions

Use of the Software requires an active paid subscription unless otherwise stated. Billing, cancellation, and refund terms are set forth in our Terms of Service. We may suspend or terminate the license granted under this Agreement if any payment is overdue.

8. Updates and Changes

MF Automations may, at its discretion, provide updates, upgrades, patches, or new versions of the Software. Such updates may be applied automatically and are subject to this Agreement. We may modify or discontinue features of the Software at any time. We may amend this EULA by posting a revised version; material changes will be communicated with at least 14 days' notice, and continued use after the effective date constitutes acceptance.

9. Term and Termination

This Agreement is effective until terminated. It terminates automatically if you fail to comply with any of its terms. We may suspend or terminate your license at any time for violation of this Agreement. Upon termination, you must cease all use of the Software and destroy any copies in your possession. Sections relating to ownership, disclaimers, limitations of liability, indemnification, and governing law survive termination.

10. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MF AUTOMATIONS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MF AUTOMATIONS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE. OUR TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless MF Automations and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Software, your Customer Content, or your violation of this Agreement or applicable law.

13. Export Compliance

You represent that you are not located in, and will not use the Software in, any jurisdiction subject to comprehensive sanctions, and that you are not listed on any government list of prohibited or restricted parties. You agree to comply with all applicable export and import control laws.

14. Governing Law and Disputes

This Agreement is governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising under this Agreement shall be resolved in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts.

15. Miscellaneous

This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and MF Automations regarding the Software. If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver. You may not assign this Agreement without our prior written consent; we may assign it freely.
